Terms and Conditions

BlitzGrok or dedicated vendor instances of BlitzGrok LMS are operated by CognoNative LLC. By creating an account, accessing, or using the Service, you agree to these Terms and Conditions. If you do not agree, do not use the Service.

1. Operator and definitions

BlitzGrok or dedicated vendor instances of BlitzGrok LMS are owned and operated by CognoNative LLC (“CognoNative,” “we,” “us,” or “our”). References to “BlitzGrok” or the “Service” mean the BlitzGrok learning management system, related websites, apps, APIs, and hosted dedicated instances that CognoNative operates.

You” means the individual or organization using the Service. Roles on the Service may include learners, managers (for example parents or teachers supervising learners), and educators/vendors who publish content.

2. Description of the Service

BlitzGrok is a learning management system (LMS) and educational marketplace. The Service may include:

  • Courses, curriculums, modules, topics, practice questions, assessments, and related learning materials
  • Progress tracking, enrollments, and access controls
  • AI-assisted tutoring and content tools
  • Purchase and subscription flows for paid offerings
  • Dedicated branded instances for organizations or educators

Features may change, and not all features are available on every instance or plan.

3. Eligibility and accounts

You must provide accurate registration information and keep it updated. You are responsible for safeguarding your login credentials and for all activity under your account.

If you create or manage accounts for others (for example minors, students, or employees), you represent that you have authority to do so and that those users will comply with these Terms.

We may refuse, suspend, or reclaim usernames or accounts that violate these Terms or create risk to the Service or other users.

4. Minors and supervised learning

Some content is designed for young learners and may require adult facilitation. If you are a parent, guardian, or educator managing a minor’s account:

  • You are responsible for supervising the minor’s use of the Service where appropriate
  • You consent to the minor’s use under these Terms and our Privacy Policy
  • You are responsible for purchases made for or through accounts you control

If you are under the age of majority where you live, you may use the Service only with permission and supervision of a parent or legal guardian, as required by applicable law.

5. Educational nature; no academic guarantees

The Service provides educational tools and content. Unless a specific offering expressly states otherwise in writing:

  • Content is for learning and skill development and is not a substitute for professional, medical, legal, or other licensed advice
  • Completion of a course, curriculum, assessment, or certificate on BlitzGrok does not by itself confer an accredited degree, professional license, or regulated credential
  • We do not guarantee any particular learning outcome, exam result, job placement, or admission result

Educators who publish content are responsible for the accuracy, legality, and suitability of their materials.

6. Marketplace content and educator offerings

BlitzGrok may host content published by independent educators or organizations (“Educators”).

  • Educator content remains the responsibility of the Educator who publishes it
  • Product descriptions, pricing, access duration, prerequisites, and refund terms may vary by course or curriculum
  • CognoNative provides the LMS platform; unless we expressly publish an offering as CognoNative’s own product, we are not the author of third-party Educator content

Dedicated vendor instances may limit the catalog to that organization’s offerings while still running on BlitzGrok LMS software operated by CognoNative.

7. Purchases, payments, and refunds

Paid access may be sold as one-time purchases, subscriptions, or other plans shown at checkout.

  • Payment processing for consumer purchases is handled by our payment provider(s). For many transactions, Paddle (or another designated merchant of record) is the seller of record and handles applicable taxes
  • Prices, taxes, and billing terms shown at checkout control the purchase
  • Refund eligibility is governed by our Refund Policy and any product-specific refund terms displayed before purchase
  • Subscriptions renew according to the plan you select until cancelled under the applicable cancellation instructions

Unauthorized chargebacks or payment disputes may result in suspension of access while we investigate.

8. License to use the Service and content

Subject to these Terms and any purchase entitlements, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service and purchased learning materials for your personal or internal educational use.

You may not, except as allowed by law or with our prior written consent:

  • Copy, redistribute, sublicense, or publicly re-host platform software or purchased content for others
  • Scrape, harvest, or bulk-download content
  • Reverse engineer the Service except where prohibited restrictions are not allowed by law
  • Share login credentials or paid access in a way that circumvents per-user licensing

Educators retain ownership of content they lawfully upload, and grant CognoNative a license to host, display, transmit, and otherwise operate that content on the Service as needed to provide the LMS and marketplace features.

9. Acceptable use

You agree not to use the Service to:

  • Violate any law or third-party right
  • Upload malware, attempt unauthorized access, or disrupt the Service
  • Harass, abuse, or exploit other users, especially minors
  • Cheat on assessments in a way that misrepresents another person’s identity or results where identity verification is required
  • Publish infringing, defamatory, or unlawful content
  • Misrepresent your affiliation with CognoNative, BlitzGrok, or another Educator

We may remove content or limit features that violate this section.

10. AI features

The Service may include AI-powered tutoring, generation, grading assistance, or similar features. AI outputs can be inaccurate, incomplete, or inappropriate for a given learner. You should review AI assistance critically and not rely on it as the sole basis for graded outcomes, professional decisions, or unsupervised use by young children where adult judgment is required.

11. Intellectual property of the platform

The BlitzGrok LMS software, branding, UI, documentation, and CognoNative-owned materials are the exclusive property of CognoNative LLC and its licensors. All rights not expressly granted are reserved.

12. Privacy

Your use of the Service is also governed by our Privacy Policy. Please review it to understand how account and learning-related information is handled.

13. Suspension and termination

We may suspend or terminate access to accounts or content if we reasonably believe these Terms have been violated, if required by law, or to protect the Service, users, or payment integrity. You may stop using the Service at any time. Provisions that by nature should survive (including intellectual property, disclaimers, and limitation of liability) survive termination.

14. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT CONTENT WILL MEET YOUR REQUIREMENTS.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COGNONATIVE LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR LEARNING OUTCOMES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

16. Indemnity

You will defend and indemnify CognoNative LLC against claims, losses, and expenses (including reasonable attorneys’ fees) arising from your content, your misuse of the Service, or your violation of these Terms or applicable law, except to the extent caused by CognoNative’s willful misconduct.

17. Changes to the Service or Terms

We may update the Service and these Terms from time to time. We will post the updated Terms with a new “Last updated” date. Continued use after changes become effective constitutes acceptance of the revised Terms. If you do not agree, stop using the Service.

18. Governing law

These Terms are governed by the laws of the Commonwealth of Massachusetts, USA, without regard to conflict-of-law rules, except where mandatory consumer protections in your country of residence apply and cannot be waived.
